1. Agreement to These Terms
These Terms & Conditions ("Terms") are a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Dr. Calise, LLC, a South Carolina limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of DrCalise.com, SUCCEEDPlatform.com, any related websites or pages that link to these Terms, the SUCCEED training platform, digital courses, downloadable resources, events, newsletters, communities, and related products or services (collectively, the "Services").
By accessing or using the Services, creating an account, registering for an event, downloading a resource, joining a membership, or purchasing a product or service, you agree that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Services.
2. Who We Are
Dr. Calise, LLC operates the Dr. Calise brand and the SUCCEED Platform brand. DrCalise.com is the personal authority, media, speaking, consulting, and thought-leadership site for Dr. Giovanni Calise. SUCCEEDPlatform.com is the practical business training platform featuring training, tools, resources, professors, and industry professionals.

3. United States Only
The Services, including paid products, subscriptions, memberships, training programs, events, consulting, speaking, and downloadable resources, are intended for customers located in the United States only. We do not currently offer or intentionally sell paid products or services to customers outside the United States.
By purchasing, subscribing, registering, or otherwise paying for any Service, you represent that you are located in the United States and are purchasing from within the United States. If we determine that a purchase, subscription, registration, or account was made by a person or entity located outside the United States, we reserve the right to cancel the order, terminate or restrict access, and issue a refund. International visitors may browse public pages, but paid access is not currently offered outside the United States.
We may expand to international customers in the future after additional legal, tax, privacy, and compliance review.
4. Age Requirement
The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to purchase, register for paid products, create accounts, or use the Services without involvement and consent of a parent or legal guardian where applicable. We do not knowingly market to children.
5. Nature of the Services
The Services provide business education, training, frameworks, tools, digital courses, media content, events, and practical resources. Topics may include business strategy, leadership development, management training, entrepreneurship, marketing, operations, supply chain, human resources, customer strategy, execution, and related business topics.
The Services are for educational and informational purposes only. They are not legal, accounting, tax, investment, medical, mental health, or financial advice. You are responsible for evaluating how any training, strategy, framework, or recommendation applies to your own business, career, organization, or circumstances. You should consult qualified professional advisors before making legal, financial, tax, accounting, investment, or other regulated decisions.
6. No Guaranteed Results
We believe in practical training, clear strategy, and disciplined execution. However, we do not guarantee any specific business outcome, income level, revenue result, profit result, job placement, promotion, audience growth, fundraising result, enrollment result, organizational result, or other performance outcome. Results vary based on many factors outside our control, including your market, offer, pricing, industry, team, implementation, capital, customer behavior, competition, and economic conditions.
Any examples, case studies, testimonials, references to business growth, profit improvement, marketing performance, leadership outcomes, or strategic results are illustrative only and should not be interpreted as a promise, guarantee, or typical result.
7. Accounts and Registration
You may be required to create an account to access certain Services. You agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree not to share your account access, sell your login credentials, allow unauthorized users to access paid content through your account, or use another person’s account without permission. We may suspend or terminate accounts that violate these Terms or create risk to the Services, other users, or our business.
8. Purchases, Payments, and Taxes
Payments may be processed through third-party payment processors, including Stripe, Kajabi Payments, or other approved payment providers. We do not store full payment card numbers on our own systems. Payment processing is subject to the terms and privacy policies of the applicable payment processor.
You agree to provide current, complete, and accurate purchase and account information. Prices are listed in U.S. dollars unless otherwise stated. We may correct pricing errors, change prices, modify offers, or discontinue products at any time, subject to applicable law and any specific terms provided at checkout.
Sales tax or other applicable taxes may be added where required. You are responsible for any taxes, duties, or fees applicable to your purchase unless we are required to collect them directly.
9. Subscriptions, Memberships, and Free Trials
Certain Services may be offered as subscriptions, memberships, free trials, or other recurring-payment programs. If you enroll in a subscription or membership, you authorize us and our payment processor to charge your payment method on a recurring basis at the price and billing frequency disclosed at checkout until you cancel or the subscription ends.
Subscription details, including price, billing frequency, renewal terms, trial period, and cancellation method, will be provided at or before checkout. It is your responsibility to review those details before purchasing.
You may cancel a subscription by using the cancellation method made available in your account, through the applicable platform, or by contacting us at Giovanni@DrCalise.com. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period, and access may continue until that period ends. We do not provide prorated refunds for partially used subscription periods unless required by law or expressly stated in a specific offer.
Free trials, promotional pricing, limited-time offers, and bonuses may be subject to additional terms displayed at checkout or on the applicable offer page.
10. Refunds and Cancellations
Unless a specific offer, checkout page, event page, or written agreement says otherwise, digital products, courses, memberships, subscriptions, downloads, and online training purchases are final and non-refundable after purchase or after access is granted.
Special refund rules may apply to live events, workshops, deposits, sponsored programs, or attendance-based offers. If an event page states that a deposit is refundable upon attendance or completion of stated requirements, that specific event policy controls over the general no-refund policy.
If a non-U.S. person or entity purchases a paid product or service, we may cancel the order, revoke access, and issue a refund because our paid Services are currently intended for U.S. customers only.
We reserve the right to issue refunds, credits, or account adjustments in our sole discretion where appropriate, including in cases of duplicate payments, billing errors, canceled programs, or other circumstances we determine warrant an adjustment.
11. Intellectual Property Rights
The Services and all content included in or made available through the Services are owned by or licensed to Dr. Calise, LLC and are protected by copyright, trademark, and other intellectual property laws. This includes, without limitation, videos, audio, podcasts, written content, course materials, slides, worksheets, frameworks, templates, downloads, graphics, logos, brand names, website designs, training methods, product names, and platform resources.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and purchased materials for your personal use or internal business or organizational use. You may not copy, reproduce, resell, distribute, publicly display, upload, share, license, modify, create derivative works from, or commercially exploit our content without our prior written permission.
You may not share paid training materials, account access, course videos, downloads, templates, or member-only resources with anyone who has not purchased or been authorized to access them.
12. Trademarks
Dr. Calise, SUCCEED, SUCCEED Platform, Get Ready to SUCCEED, associated logos, taglines, and related brand elements are trademarks, service marks, trade names, or protected brand assets of Dr. Calise, LLC or its licensors. You may not use our brand assets without prior written permission.
13. User Content, Feedback, and Submissions
If you submit comments, testimonials, reviews, questions, feedback, suggestions, messages, posts, images, video, audio, or other content to us or through the Services ("User Content"), you represent that you own or have the necessary rights to provide that User Content and that it does not violate any law or third-party rights.
You retain ownership of your User Content. However, by submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, display, publish, distribute, edit, and create derivative works from that User Content for purposes of operating, improving, promoting, and documenting the Services, subject to our Privacy Policy and applicable law.
We may remove, edit, reject, or decline to display User Content at any time. We are not obligated to monitor User Content, but we may do so to protect the Services, users, and our business.
14. Testimonials, Reviews, and Endorsements
Testimonials, reviews, and endorsements must reflect honest opinions, findings, beliefs, or experiences. You may not submit false, misleading, compensated, incentivized, or deceptive reviews without disclosure. We may remove reviews or testimonials that appear inaccurate, misleading, abusive, unlawful, or inconsistent with these Terms.
15. Prohibited Uses
You agree not to use the Services to:
violate any law, regulation, contract, intellectual property right, privacy right, or third-party right;
copy, scrape, download, record, archive, or redistribute our content except as expressly allowed;
share login credentials or bypass access controls;
upload malware, spam, malicious code, or harmful files;
interfere with the security, availability, or operation of the Services;
impersonate another person or misrepresent your affiliation;
harass, threaten, defame, abuse, or harm another person;
use the Services to train competing products or create a competing training platform without permission;
use automated bots, scrapers, or data-mining tools without permission;
make false, misleading, or unlawful statements through the Services; or
use the Services outside their intended educational, business, or organizational purpose.
16. Third-Party Platforms and Links
The Services may use or link to third-party platforms, including Wix, Kajabi, Stripe, Google, email marketing providers, analytics providers, advertising platforms, social media platforms, embedded media providers, scheduling tools, payment processors, and other service providers. We are not responsible for third-party websites, platforms, policies, or practices. Your use of third-party services may be subject to their own terms and privacy policies.
17. Email, SMS, and Electronic Communications
By providing your email address or phone number, you may receive service-related messages, account notices, purchase confirmations, administrative messages, or other communications related to the Services. If you opt in to marketing emails, you may unsubscribe by using the unsubscribe link or contacting us.
If you opt in to SMS/text messages, message and data rates may apply. You may opt out by replying STOP or following the instructions provided in the text message. We do not share mobile opt-in information with third parties for their own marketing purposes.
18. Availability, Updates, and Changes
We may modify, suspend, discontinue, update, or remove any part of the Services at any time. We do not guarantee that the Services will be available without interruption or error. We may update content, courses, resources, features, pricing, or offerings from time to time.
19. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge our Privacy Policy.
20. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DR. CALISE, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, PROFESSORS, INDUSTRY PROFESSIONALS, PARTNERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING OUT OF OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE CLAIM AROSE, OR (B) $200. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.
22. Indemnification
You agree to defend, indemnify, and hold harmless Dr. Calise, LLC and its owners, officers, employees, contractors, contributors, professors, industry professionals, partners, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your breach of these Terms, your User Content, your violation of law, or your violation of any third-party rights.
23. Dispute Resolution and Governing Law
These Terms and your use of the Services are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Services will be handled in the state or federal courts located in Greenville County, South Carolina, unless another dispute-resolution process is required by applicable law or agreed to in writing.
Before filing a claim, the parties agree to attempt to resolve disputes informally by providing written notice and allowing at least 30 days for good-faith resolution. This does not limit either party’s ability to seek injunctive relief for intellectual property misuse, unauthorized access, confidentiality issues, or other urgent matters.
24. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date. Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
